Routify Data Processing Agreement

By using Routify Products or Services and/or visiting our Website and/or acting as a Processor of data Routify collects, you agree to this Data Processing Agreement. This Agreement (“Agreement”) forms part of the Terms of Service (“Contract Documents”) between Informatic Digital Journey Ltd. (“Company”, “we”, “us”) and you, the user (“you”, “user”, “Individual”, “Data Processor” or “Controller”), collectively referred to as the “Parties.”

WHEREAS
(A) Routify may act as a Data Controller and/or Processor.
(B) Routify wishes to subcontract certain services that involve processing personal data to the Data Processor.
(C) The Parties intend to ensure compliance with applicable data protection laws, including the General Data Protection Regulation (Regulation (EU) 2016/679 – “GDPR”).
(D) The Parties agree to establish their respective rights and responsibilities in this Agreement.

1. Definitions and Interpretation

Unless stated otherwise, capitalized terms used in this Agreement shall have the following meanings:

  • 1.1.1 “Agreement” – this Data Processing Agreement, including all schedules.
  • 1.1.2 “Company Personal Data” – any personal data processed by a Contracted Processor on behalf of Routify under the Principal Agreement.
  • 1.1.3 “Contracted Processor” – a Subprocessor engaged by the Processor.
  • 1.1.4 “Data Protection Laws” – all applicable privacy and data protection laws including, but not limited to, US and EU regulations.
  • 1.1.5 “EEA” – the European Economic Area.
  • 1.1.6 “EU Data Protection Laws” – the GDPR and related member state laws.
  • 1.1.7 “GDPR” – the General Data Protection Regulation (EU 2016/679).
  • 1.1.8 “Data Transfer” – any transfer of Company Personal Data:
    • from Routify to a Contracted Processor; or
    • between Contracted Processors or their affiliates, in situations where such transfers are subject to data transfer restrictions under applicable laws.

  • 1.1.9 “Services” – all Routify products, usage of such products, professional services, and visits to our website(s) or SaaS-based platforms.
  • 1.1.10 “Subprocessor” – any third party appointed to process personal data on behalf of Routify.

Terms such as “Controller”, “Processor”, “Data Subject”, “Supervisory Authority”, and others shall have the meanings set out in the GDPR.

2. Processing of Company Personal Data

2.1 The Processor shall:

  • 2.1.1 comply with all applicable Data Protection Laws when processing Company Personal Data;
  • 2.1.2 only process such data in accordance with Routify’s documented instructions.

2.2 Routify instructs the Processor to process Company Personal Data as necessary for the delivery of Services.

3. Processor Personnel

The Processor shall ensure only authorized personnel access Company Personal Data and that such personnel are bound by confidentiality obligations, whether by contract or statute.

4. Security

4.1 The Processor must implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, as defined in Article 32(1) of the GDPR.
4.2 Security measures must specifically address the risk of personal data breaches.

5. Subprocessing

The Processor shall not appoint or disclose data to any Subprocessor without prior written authorization from Routify.

6. Data Subject Rights

6.1 The Processor shall support Routify in enabling Data Subjects to exercise their rights under applicable laws.
6.2 The Processor shall:

  • Notify Routify without delay if a request is received from a Data Subject;
  • Not respond to such requests unless instructed to do so by Routify or legally required.

7. Personal Data Breach

7.1 In the event of a Personal Data Breach, the Processor must notify Routify without undue delay and provide sufficient information to meet reporting obligations.
7.2 The Processor shall cooperate with Routify in investigating and remediating the breach.

8. Data Protection Impact Assessments

The Processor will assist Routify with any required impact assessments or consultations with regulatory authorities, as required under Articles 35 and 36 of the GDPR.

9. Deletion or Return of Data

9.1 Within 10 business days of the termination of Services involving data processing, the Processor shall delete or return all Company Personal Data, unless otherwise required by law.

10. Audit Rights

10.1 Routify may request documentation or conduct audits to verify the Processor’s compliance with this Agreement.
10.2 These rights apply only to the extent they are not already addressed under Routify’s existing audit rights or applicable law.

11. Data Transfer

11.1 No data transfers outside the EU/EEA may occur without Routify’s prior written consent. If approved, such transfers must rely on appropriate legal mechanisms (e.g., Standard Contractual Clauses).

12. General Terms

12.1 Confidentiality:
Each Party must maintain the confidentiality of this Agreement and any non-public information disclosed, except where disclosure is legally required or the information is already public.

12.2 Notices:
All communications under this Agreement must be in writing and sent by mail or email to the designated address of the receiving Party.

IN WITNESS WHEREOF, this Agreement takes effect as of the date agreed by both Parties.
